Llama 材料 (Llama Materials)

Meta's proprietary Llama 4 and Documentation (and any portion thereof) made available under this Agreement.

授權範圍 | Grant of Rights

您獲得非專屬、全球性、不可轉讓和免版稅的有限許可，可以：

You are granted a non-exclusive, worldwide, non-transferable and royalty-free limited license to:

• ✓ 使用 (use)
• ✓ 複製 (reproduce)
• ✓ 分發 (distribute)
• ✓ 複製 (copy)
• ✓ 創建衍生作品 (create derivative works)
• ✓ 修改 (make modifications)

再分發要求 | Redistribution Requirements

如果您分發 Llama 材料或衍生作品，您必須：

If you distribute Llama Materials or derivative works, you must:

1. 提供本協議副本
   Provide a copy of this Agreement
2. 顯著標示 "Built with Llama"
   Prominently display "Built with Llama"
3. 如創建 AI 模型，必須在模型名稱開頭包含 "Llama"
   Include "Llama" at the beginning of any AI model name
4. 保留歸屬通知：
   Retain attribution notice:
   "Llama 4 is licensed under the Llama 4 Community License, Copyright © Meta Platforms, Inc. All Rights Reserved."

大規模商業使用限制 | Large-Scale Commercial Use Limitation

如果在 Llama 4 版本發布日期，您或您關聯公司的產品或服務的月活躍用戶超過：

If, on the Llama 4 version release date, the monthly active users of your products or services is greater than:

您必須向 Meta 申請許可，Meta 可自行決定是否授予

You must request a license from Meta, which Meta may grant in its sole discretion

免責聲明 | Disclaimer of Warranty

Llama 材料及其輸出和結果按「原樣」提供，不提供任何形式的保證

The Llama Materials and any output and results are provided "AS IS" without warranties of any kind

Meta 免除所有明示和暗示的保證，包括但不限於：

Meta disclaims all warranties, both express and implied, including:

• • 所有權保證 (warranties of title)
• • 非侵權保證 (non-infringement)
• • 適銷性保證 (merchantability)
• • 特定用途適用性保證 (fitness for a particular purpose)

責任限制 | Limitation of Liability

Meta 或其關聯公司在任何情況下均不對以下損失承擔責任：

Meta or its affiliates will not be liable for:

• • 利潤損失 (lost profits)
• • 間接損害 (indirect damages)
• • 特殊損害 (special damages)
• • 後果性損害 (consequential damages)
• • 附帶損害 (incidental damages)
• • 懲罰性損害 (punitive damages)

商標使用 | Trademark Usage

• • 本協議不授予商標許可
  No trademark licenses are granted under this Agreement
• • Meta 授予您使用「Llama」商標的許可，僅用於遵守第 1.b.i 條的要求
  Meta grants you a license to use "Llama" solely to comply with the requirements in Section 1.b.i
• • 您必須遵守 Meta 的品牌指南
  You must comply with Meta's brand guidelines

衍生作品所有權 | Derivative Works Ownership

• • 受限於 Meta 對 Llama 材料和 Meta 創建的衍生品的所有權
  Subject to Meta's ownership of Llama Materials and derivatives made by Meta
• • 您對自己創建的衍生作品和修改擁有所有權
  You are the owner of derivative works and modifications made by you

訴訟終止條款 | Litigation Termination

• • 如果您對 Meta 提起訴訟，聲稱 Llama 材料侵犯您的知識產權
  If you institute litigation against Meta alleging that Llama Materials infringe your intellectual property
• • 則授予您的許可將終止
  Then any licenses granted to you shall terminate
• • 您將賠償 Meta 因您使用或分發 Llama 材料而引起的第三方索賠
  You will indemnify Meta from claims arising from your use or distribution

協議期限 | Term of Agreement

• • 自您接受本協議或訪問 Llama 材料時開始生效
  Commences upon your acceptance or access to the Llama Materials
• • 持續有效直至根據協議條款終止
  Continues until terminated in accordance with the terms and conditions herein
• • Meta 可在您違反本協議的任何條款時終止本協議
  Meta may terminate this Agreement if you are in breach of any term or condition

終止後義務 | Post-Termination Obligations

• • 刪除並停止使用 Llama 材料
  Delete and cease use of the Llama Materials
• • 第 3、4 和 7 條在協議終止後仍然有效
  Sections 3, 4 and 7 shall survive the termination of this Agreement

適用法律 | Governing Law

本協議受加利福尼亞州法律管轄，不考慮法律選擇原則，且《聯合國國際貨物銷售合同公約》不適用於本協議

This Agreement will be governed and construed under the laws of the State of California without regard to choice of law principles, and the UN Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

管轄權 | Jurisdiction

加利福尼亞州法院對因本協議引起的任何爭議具有專屬管轄權

The courts of California shall have exclusive jurisdiction of any dispute arising out of this Agreement.
